Terms and Conditions
1. Agreement Terms: This Carrier Agreement (“Agreement”) is entered into between Path of Excellence Logistics LLC (“Broker”) and the carrier identified above (“Carrier”).
2. Compensation: Carrier agrees that Broker will retain 8% of the gross revenue for each load as compensation for brokerage services. Carrier will receive 92% of the gross revenue per load.
3. Carrier Responsibilities:
- Maintain valid operating authority, insurance, and all required licenses
- Provide safe, reliable transportation services
- Comply with all federal, state, and local regulations
- Maintain vehicles in good working condition
- Provide accurate and timely updates on load status
- Deliver cargo safely and on time
4. Insurance Requirements: Carrier must maintain minimum insurance coverage of $1,000,000 combined single limit for bodily injury and property damage, and provide current certificates of insurance.
5. Payment Terms: Payment will be processed within 30 days of invoice receipt and load delivery confirmation, subject to proper documentation.
6. Liability: Carrier assumes full responsibility for cargo from pickup to delivery and will be liable for any loss, damage, or delays caused by Carrier’s negligence.
7. Termination: Either party may terminate this agreement with 30 days written notice. Broker may terminate immediately for breach of contract or safety violations.
8. Independent Contractor: Carrier is an independent contractor and not an employee of Broker. Carrier is responsible for all taxes, licenses, and permits.
